Please read and review the following Terms and Conditions before using the docvadis® platform. By using the docvadis® platform, you accept these Terms and Conditions for the docvadis® platform.

General Terms and ConditionsWelcome to docvadis®. This service is provided by Merck Sharp & Dohme Ireland (Human Health) Limited ("MSDIHH") on the basis of the following Terms and Conditions. Please read these Terms and Conditions carefully and in their entirety before using the docvadis® service. In addition, explicit reference is made to the General Terms and Conditions of the univadis®  service which are also applicable.

1. Objective of docvadis®
docvadis® is a service from MSDIHH that aims to assist the physician–patient relationship to improve outcomes for patients. docvadis® gives physicians and their patients access to high-quality medical information that is available on the physician's self-created docvadis® website. docvadis® helps physicians and their colleagues to communicate directly with their patients. The internet presence it provides is designed to meet the growing need of patients to get useful and reliable information about their physicians and the medical services they offer.

2. Scope of Services

a. docvadis® offers users the opportunity to create and manage their own professional homepage that is fully accessible to patients. This on-line service is subject to far-reaching duties for providers of websites, in particular but not limited to the Medicinal Products (Control of Advertising) Regulations 2007 (S.I. 541 of 2007) and the Data Protection Acts of 1988 and 2003.

b. docvadis® also provides users with access to a database of high-quality medical content for the information of patients (hereinafter "Information Documents"). The user may select content from this database and publish it on their docvadis® homepage. In addition, the user may edit this content for this purpose, provided its original meaning is preserved, and that the content is not distorted thereby. The user does not acquire any intellectual property rights to the Information Documents, whether used unchanged or edited, provided no individual rights have arisen from editing according to applicable intellectual property laws. The user is not allowed to represent himself in any way as author of the Information Documents used unchanged or edited, provided no individual rights have arisen from editing according to applicable intellectual property laws. Since the available Information Documents are subject to third-party intellectual property rights, the user undertakes to remove immediately from his docvadis® homepage any Information Documents used by him as requested by MSDIHH at the sole discretion of MSDIHH. The full or partial use of any Information Documents outside docvadis® websites is not permitted without the prior written consent of MSDIHH.

c. MSDIHH grants the user alone a personal, non-exclusive and non-transferable right for the use of the service as described in Section 2 of the Terms and Conditions.

3. Fees and Termination

a. The service described in Section 2 of these Terms and Conditions is provided free-of-charge. However, MSDIHH at its sole discretion, in particular for legal reasons, reserves the right to introduce a fee structure for docvadis® services. MSDIHH undertakes to provide all users with advance notice of any such introduction, including details of the fee structure, and to obtain explicit acceptance of such fees from all users in advance. If such acceptance is not received by MSDIHH from the user within a reasonable period specified by MSDIHH, MSDIHH shall be entitled to terminate the user's individual docvadis® homepage without delay.

b. MSDIHH reserves the right to modify, interrupt or completely discontinue all or individual parts of this service, temporarily or permanently, with or without prior notice to the user. The user accepts that MSDIHH is not liable to them or third parties for any modifications to, interruptions to or discontinuations of the service.

4. Authorized Service Users

Use of the docvadis® service is exclusively reserved for physicians holding current, valid registration with the Medical Council of Ireland as required under The Medical Practitioners Act 2007. In application for and use of this service, the user thereby declares that they are a duly registered physician domiciled in the Republic of Ireland. MSDIHH may verify this information in an appropriate way or ask for evidence thereof at any time.

5. Responsibilities of the User

a. The user undertakes to design and maintain their docvadis® internet presence in accordance with all applicable laws, regulations and Terms and Conditions of docvadis®, including the General Terms and Conditions of univadis®, as amended.

b. The user is responsible for correctly entering, displaying and updating their personal and business information, which is required for the use of the docvadis® service, at all times.

c. All external content uploaded by the user from any sources outside the docvadis® service must fully comply with these Terms and Conditions.

d. The user undertakes to treat their log-in data for accessing the service as strictly confidential, and to exclude third parties from using them.

e. The user further undertakes to use service updates provided by MSDIHH, as well as to change their docvadis® homepage if requested to do so by MSDIHH for technical, design, content or legal reasons.

6. Consequences of a violation

a. Unless otherwise agreed in the Terms and Conditions, MSDIHH reserves the right, without obligation to disclose reasons, to exclude the user from the docvadis® service, or to delete Information Documents or any other external content. Where the user has violated applicable laws or the Terms and Conditions, MSDIHH reserves all rights to claim for damages or to take any other legal action.

b. Users should inform MSDIHH immediately about all violations of these Terms and Conditions or other legal provisions using the following postal or e-mail address:

7. Responsibility, Indemnification

a. The user is entirely responsible for all the content which is published, displayed, downloaded, sent or transmitted in any manner using the docvadis® service, including that of the Information Documents provided from within the MSDIHH database.

b. Furthermore, the user has sole responsibility for all links within their docvadis® homepage to any other websites outside the docvadis® service. MSDIHH does not assume any responsibility and no auditing duty in this respect. Such links shall not be interpreted to reflect the views or opinions of MSDIHH in any respect.

c. MSDIHH, its affiliates, and third parties used by MSDIHH as service providers shall not be liable for any deficiencies in the continuity, transfer rates, and response times of the hosted information, nor for any other technical aspects of the docvadis® service.

d. In addition, explicit reference is made to the indemnification clause of the General Terms of Use of the univadis®  platform (, which is applicable, without restrictions, to the use of the docvadis® service.

8. Data Protection; Information about the MSDIHH brand, the MSDIHH Logos, Applicable Law and Jurisdiction

Users are referred to the General Terms of Use for univadis®  (, which are also applicable within the scope of the use of the docvadis® service.

9. Amendment of Terms and Conditions

a. MSDIHH reserves the right to modify these Terms and Conditions at any time. The applicable version is the one to which users have on-line access under the following link: In case of any modification, users will be informed in a timely manner. Users have the right to object to modified Terms and Conditions. MSDIHH reserves the right to delete, without compensation, the user's docvadis® homepage after 2 weeks have elapsed from the receipt of notice of such objection from the user.

b. The present Terms and Conditions, including the General Terms of Use for univadis®, govern the relationship between the user of the docvadis® service and MSDIHH conclusively. All other preceding written and oral agreements between the user and MSDIHH are hereby replaced.

c. Where a provision in the present Terms and Conditions for docvadis®, including the General Terms of Use for univadis®, is or becomes ineffective, the effectiveness of the remaining Terms and Conditions shall not be affected thereby. In place of the ineffective provision, a legally acceptable provision that best corresponds to the objective of the ineffective provision shall be applicable.
